1 About Suraj Digital

Suraj Digital is a fully remote digital marketing and web development agency based in New Delhi, India. We operate as a professional freelancing and agency business, offering services including but not limited to Google Ads management, SEO, Meta Ads, social media management, website development, graphic design, video editing, AI chatbot development and email marketing.

We serve clients across India and internationally — including UAE, UK and Southeast Asia — on a fully remote, digital-first basis. There is no physical office for client visits.

2 Services

Suraj Digital provides digital marketing, design, development and automation services on a project or retainer basis. The specific scope of work, deliverables, timelines and pricing for each engagement are agreed upon before work commences — either via WhatsApp, email or a formal proposal.

All services are delivered fully remotely. Deliverables are shared via Google Drive, email or WhatsApp. No physical handover of materials is included unless specifically agreed in writing.

We reserve the right to decline any project or client at our discretion, including but not limited to work that conflicts with our values or legal obligations.

3 Payments

Payment terms for each project are agreed before work begins. Standard terms are:

• One-time projects: 50% advance before work starts, 50% before final file delivery
• Monthly retainers: Full monthly fee due on or before the 1st of each month
• Ad spend budgets: Paid directly by the client to the ad platform (Google, Meta etc.) — Suraj Digital does not hold or manage client ad budgets

Accepted payment methods include bank transfer (NEFT/IMPS/UPI), Razorpay and international wire transfer. Payment details will be provided on invoice.

All prices are quoted in Indian Rupees (₹) unless otherwise agreed. International clients may be invoiced in USD or AED — the applicable currency will be confirmed before project commencement.

Late payments may result in work being paused until outstanding amounts are cleared. We reserve the right to charge interest on payments overdue by more than 14 days.

4 Refund Policy

Due to the nature of creative and digital services, refunds are subject to the following conditions:

• Before work starts: Full refund of any advance paid if work has not yet begun
• After work has started: No refund on advance payments once work is in progress. Payment covers time and effort invested, regardless of whether the client proceeds
• Monthly retainers: No refunds for the current month once the retainer period has started. You may cancel future months with 15 days written notice
• Dissatisfaction: We offer unlimited revisions within the agreed scope. If you are unhappy with delivered work, please raise concerns within 7 days of delivery so we can resolve them

Refund requests must be submitted in writing to info@surajdigital.com. Approved refunds are processed within 7–14 business days.

5 Client Responsibilities

To deliver work on time and to the agreed standard, we require the following from you:

• Timely provision of all required materials — content, images, brand assets, login credentials and approvals
• Clear and prompt communication via WhatsApp or email within reasonable business hours
• Feedback and revision requests submitted within 7 days of receiving a deliverable
• Payment on time as per the agreed schedule
• Accurate information about your business, target audience and campaign goals

Delays caused by the client — including late content submission, slow approvals or non-payment — will not be counted against our delivery timelines. Revised timelines will be communicated if delays occur.

6 Account Ownership

Suraj Digital operates on a zero hidden charges, client-owns-everything policy:

• All advertising accounts (Google Ads, Meta Ads Manager) remain owned by the client at all times
• All websites, domains and hosting accounts are registered in the client's name
• All creative assets, designs and copy produced for the client are owned by the client upon full payment
• We are granted temporary managed access to your accounts for the duration of the engagement only
• Upon project completion or termination, all access granted to us can be revoked by the client immediately

We will never transfer, sell or misuse access to client accounts under any circumstances.

7 Intellectual Property

Upon receipt of full payment, all creative work produced by Suraj Digital for a specific client project — including logos, designs, copy, code and video edits — is transferred to the client.

Suraj Digital retains the right to display completed work in our portfolio, case studies and marketing materials unless the client explicitly requests otherwise in writing.

Any third-party assets used in deliverables — stock photos, fonts, plugins, licensed software — remain subject to their respective licence terms. It is the client's responsibility to ensure ongoing compliance with any third-party licences after project delivery.

8 Confidentiality

Both parties agree to keep confidential any sensitive business information, login credentials, financial data or proprietary strategies shared during the engagement.

Suraj Digital will not share client account data, campaign performance, pricing or business information with any third party without explicit written consent, except where required by law.

Clients must not share access credentials or project deliverables provided by Suraj Digital with competing agencies or individuals without prior written agreement.

9 Results & Performance Disclaimer

Digital marketing results — including ad performance, SEO rankings, social media growth and lead generation — are influenced by many factors outside our direct control, including but not limited to:

• Algorithm changes on Google, Meta, Instagram and other platforms
• Market conditions, competition and seasonal demand fluctuations
• Ad budget levels and client-side conversion factors (website quality, pricing, product)
• Accuracy and timeliness of client-provided information

Suraj Digital does not guarantee specific results, rankings or revenue figures. We commit to applying best-practice strategies, transparent reporting and continuous optimisation to maximise your return on investment. Any performance projections shared are estimates, not guarantees.

10 Termination

Either party may terminate an ongoing engagement with 15 days written notice via email or WhatsApp.

• Any work completed up to the termination date is billable and payable
• Advance payments for work not yet started will be refunded (less any administrative costs incurred)
• Upon termination, all access granted to Suraj Digital can be revoked by the client immediately
• All deliverables completed and paid for will be handed over to the client in full

Suraj Digital may terminate an engagement immediately and without notice in cases of non-payment, abusive conduct or requests to perform illegal or unethical activities.

11 Limitation of Liability

To the maximum extent permitted by applicable law, Suraj Digital's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.

We are not liable for:

• Indirect, incidental or consequential losses including loss of revenue, profit or business opportunity
• Losses arising from platform changes, algorithm updates or third-party service outages
• Data loss resulting from client-side actions or third-party platform failures
• Delays caused by client-side factors (late content, slow approvals, non-payment)

12 Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of New Delhi, India.

For international clients, we will first attempt to resolve disputes amicably via written communication before any formal legal proceedings are initiated.

13 Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. The updated version will be published on this page with a revised date. Continued use of our services after any changes constitutes your acceptance of the updated terms.

For ongoing retainer clients, material changes to terms will be communicated via email or WhatsApp with a minimum of 15 days notice before taking effect.
